These Terms and Conditions (“Terms”) govern your use of permacultureandcompost.com (the “Site”) and any services you purchase from Practically Sustainable LLC, a California limited liability company doing business as Prema’s Permaculture & Composting (“PP&C”, “we”, “us”). By using the Site or engaging our services, you agree to these Terms. If you do not agree, please do not use the Site.
1. Who We Are
Practically Sustainable LLC is a California limited liability company based in Palm Springs, California, operating as Prema’s Permaculture & Composting. You can reach us at walker.prema@permacultureandcompost.com or +1 714 394 6944.
2. Our Services
PP&C provides community composting site design, construction, operations and management; SB 1383 municipal program consulting; workforce and educational training; and the sale of compost, seed starts and related farm products. The specific scope, deliverables, timeline and fees for any engagement are set out in a separate written proposal, contract or purchase agreement.
Where a signed agreement exists between you and PP&C, that agreement governs the engagement. These Terms apply to your use of the Site and fill any gaps the agreement does not address. If the two conflict, the signed agreement controls.
3. Information on This Site Is Not Professional Advice
The Site describes our services and shares general information about composting, organic waste diversion and California waste regulation, including SB 1383. This material is provided for general information only. It is not legal advice, regulatory advice, engineering advice or a compliance determination, and it does not create a consulting relationship.
Responsibility for regulatory compliance remains with you. Cities, districts, schools and businesses are responsible for their own compliance with SB 1383 and all other applicable laws. PP&C provides guidance, program design and operational support, and we work to a high professional standard, but we do not guarantee any particular regulatory outcome, jurisdictional approval, diversion tonnage, cost saving or grant award.
4. Quotes, Fees and Payment
Quotes and estimates are valid for the period stated on them and are based on the scope described at the time of quoting. Changes to site conditions, material availability, volumes or scope may change the price, and we will tell you before additional charges are incurred.
Unless your agreement says otherwise, invoices are payable within 30 days of the invoice date. Payments for classes, workshops, tickets and product orders are due at the time of purchase. Card payments are processed by a third-party payment processor; PP&C does not store your full card details.
Overdue amounts may accrue interest at the lower of 1.5% per month or the maximum permitted by California law, and we may suspend services on accounts that remain unpaid.
5. Classes, Workshops and Events
Registration is confirmed when payment is received. Places are limited and are allocated in order of registration.
If you need to cancel, contact us at least 7 days before the event for a full refund. Cancellations within 7 days may be transferred to a future session where space allows, at our discretion.
If PP&C cancels or reschedules an event, you may choose a place at the rescheduled session or a full refund. Outdoor sessions may be postponed for weather or site safety reasons; we will contact registrants as early as we reasonably can.
6. Products
Compost, seed starts and farm products are natural, living or biologically active goods. Appearance, texture, moisture content, weight and germination rates vary naturally between batches and seasons, and photographs on the Site are illustrative rather than exact.
Please inspect products on collection or delivery and tell us about any problem within 48 hours so we can put it right. Because these goods are perishable, we do not generally accept returns, but we will replace or refund products that are defective or not as described.
Growing outcomes depend on soil, climate, water, timing and care, which are outside our control, so we cannot guarantee specific plant or yield results.
7. Site Access and Safety
Composting sites, farms and construction areas carry inherent risks, including uneven ground, heavy materials, tools, machinery, heat and biological material. If you visit a site or attend hands-on training, you agree to follow all instructions and safety directions given by PP&C staff, to wear appropriate footwear and clothing, and to tell us of any condition that may affect your safe participation. Participation is at your own risk to the extent permitted by law.
8. Intellectual Property
All content on the Site, including text, photographs, graphics, diagrams, training materials, operations manuals, program designs and the PP&C name and logo, is owned by Practically Sustainable LLC or used with permission, and is protected by copyright and trade mark law.
You may view, download and print Site content for your own non-commercial reference. You may not reproduce, republish, distribute, adapt or use our content or training materials commercially, or present them as your own, without our prior written permission.
Where an engagement produces materials specifically for you, ownership of those deliverables is set out in your agreement.
9. Your Content and Communications
If you send us enquiries, photographs, site data or other material, you confirm you have the right to share it, and you grant us permission to use it for the purpose of responding to you and delivering the services.
Where you give separate written consent, we may use photographs taken at project sites, including images of participants, in case studies and marketing. You can withdraw that consent at any time by contacting us.
10. Third-Party Links
The Site links to third-party websites, including our newsletter, funders, partner organisations and social platforms. We do not control those sites and are not responsible for their content, products or privacy practices. Links do not imply endorsement.
11. Disclaimers
The Site is provided on an “as is” and “as available” basis. We do not warrant that the Site will be uninterrupted, error free, or free of harmful components, and we may change or withdraw Site content at any time.
To the fullest extent permitted by law, we disclaim all implied warranties, including implied warranties of merchantability and fitness for a particular purpose, in relation to the Site. Nothing in these Terms limits any warranty or right that cannot be excluded under California law.
12. Limitation of Liability
To the fullest extent permitted by law, PP&C will not be liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, lost revenue, lost data or business interruption, arising from your use of the Site or our services.
Our total liability arising from any engagement will not exceed the amount you paid to PP&C for the services giving rise to the claim. Nothing in these Terms excludes liability for fraud, wilful misconduct, or any liability that cannot lawfully be excluded, including liability for death or personal injury caused by negligence.
13. Indemnity
You agree to indemnify PP&C against claims, losses and reasonable costs arising from your breach of these Terms, your misuse of the Site, or your violation of any law or third-party right.
14. Privacy
Our handling of personal information is described in our Privacy Policy, which forms part of these Terms. California residents have specific rights under the CCPA and CPRA, which that policy explains.
15. Governing Law and Disputes
These Terms are governed by the laws of the State of California, without regard to conflict of law principles. The courts located in Riverside County, California will have jurisdiction over any dispute, and you and PP&C consent to that jurisdiction.
Before starting formal proceedings, please contact us so we can try to resolve the matter directly. Most issues are resolved with a conversation.
16. Changes to These Terms
We may update these Terms from time to time. The version published on this page, with the date shown at the top, is the version in effect. Continued use of the Site after changes are posted means you accept the updated Terms. Terms applying to a signed engagement will not change during that engagement without written agreement.
17. General
If any provision of these Terms is found unenforceable, the remaining provisions continue in effect. Our failure to enforce a provision is not a waiver of it. These Terms, together with any signed agreement and our Privacy Policy, are the entire agreement between you and PP&C regarding the Site.
